From an ESG Gaming perspective maintaining purposeful and transparent governance has been very important to us since our incorporation. Here are a few examples of how we model transparent governance:
Companies House: We have a strong compliance history on Companies House.
Legal structure: We are a regulated Community Interest Company, but importantly, we are constituted as Limited by Guarantee and with no Shareholding. None of our Directors take any dividends, we have a 100% not-for-profit structure. Any surplus we make annually will be invested back in to our work, with up to 25% donated to good causes following agreement by our board and permission from the Regulator.
Annual Reporting: Our published accounts have been produced by Crowe UK LLP (top ten accountancy firm) with a full disclosure of salaries. We also publish the statutory CIC34 report with our accounts too. At our last AGM, our board agreed to enlist the financial and audit services of Crowe UK LLP for the next three years.
Annual Review: In addition to the CIC34 statutory report, we also have published an Annual Review (which is like the CIC34 report, but more reader friendly) on our website.
Board meeting minutes: on our website, we have been publishing our board meeting agenda, minutes and any boards papers following each board meeting. We also publish our AGM papers too.
Transparency: on our website we have published our organisational risk assessment and register of interests which is updated at each board meeting. We have also published our insurance certificates, Information Commissions Office registration and Governance and People handbook.
Fundraising Regulator: ESG Gaming have voluntary applied and been accepted into the Fundraising directory of regulated organisations.
Salary disclosures: As well as all salaries being formally reported in our accounts and on our CIC34 report and Annual Review, we also publish them on the ESG Gaming website too.
