Board Meetings

An Executive Chair and a team of non-executive directors lead the work of ESG Gaming. Our initial board has four members, of which 50% will have lived experience of mental health or tech harms. The remaining members will have relevant third-sector, corporate, governance or technology experience. The board will be predominantly externally focused and lead on strategy whilst supporting and scrutinising the executive team that will execute the ESG Gaming strategy.

In addition, an independent treasurer will also be appointed, and they will chair a Finance, Audit and Risk (FARC) sub-committee of the board who will have designated responsibility. The FARC will be predominantly internally focused and lead on risk, business process, audit and governance. The FARC will also lead our relationship with our accountants, Crowe UK LLP. We anticipate recruiting for a treasurer in 2024/25.

As funding is secured, a small honorarium of up to £250 pcm will be paid to non-executive directors to recognise the expertise, support and insight they will provide. Our Executive Chair’s annual salary will be available to view the Public Record within our Statutory Accounts and CIC34 Report held by Companies House. Their salary and honorarium payments to non-executive directors will be published annually on this website. ESG Gaming will also ensure our Statutory Accounts are published with a detailed Income and Expenditure report so you can read exactly the spending across our organisation. In our most recent accounts (to 31 July 2023), the highest-paid director (P L Willows) received a remuneration of £89,993 Gross for the period 01 August 2022 – 31 July 2023 and is employed full-time within ESG Gaming. The board agreed that the maximum salary for this post is £125,000, which is fixed until 31 July 2025.  This payment was for the full-time role of Exec Chair & Founder, which a director undertook. Between 14 August 2021 – 31 July 2022, this post holder drew down a salary of £900 Gross. 

Other non-executive directors during this period at ESG Gaming drew honorariums as follows: £4,500 Gross (C Jones) / £6,000 Gross (S Cooke) and £500 Gross (P Romero). These were agreed honorarium payments for the role of Non-Executive Directors (NEDs). The board have agreed NEDs can draw down £250pcm, with additional payments made for work over and over their fiduciary roles. Where Non-Executive directors secure income for ESG Gaming, the board has agreed to a 10% fee of the donation as a contribution to core costs due to ESG Gaming not having a dedicated fundraiser. Between 14 August 2021 – 31 July 2022, these directors did not draw any honorarium or additional payments.

ESG Gaming intend to go above and beyond of what is expected by the CIC Regulator when it comes to financial and impact reporting. For example, it is our plan to pivot towards digital fundraising and having a digital leger on the Blockchain in 2024/25. This will bring about a revolutionary, secure and transparent way to show income for ESG Gaming and where every penny donated is being spent. Imagine if the taxes we pay could be tracked publicly and transparently, so we can see exactly what each penny we pay in tax is being spent on. We’d know, for example, if we are contributing directly to a nurses or teacher’s salary; if we are contributing to the building of a new hospital or if we are contributing to the UKs Armed Forces. We’d be able to track our tax payments transparently; that is our vision for ESG Gaming. This technology would also enable ESG Gaming to join the large growing list of other not-for-profit organisations who are now accepting Bitcoin, Ethereum, NFTs and other Cryptocurrency donations.
